Terms of Service
These Terms of Service apply to https://wixxam.com and outline the commercial and legal framework for software engineering, platform licensing, and brand partnerships provided by Wixxam Technologies (KVK: 42184184 | BTW-id: NL005564021B37, registered in Amsterdam, The Netherlands; SBI classifications 62100, 62200, 63910, and 73120).
1. Intellectual Property & Software Licensing
Wixxam Technologies retains full ownership and intellectual property rights over all proprietary software platforms, source code, cloud architectures, and systems we engineer and operate. Business clients licensing a platform receive a non-exclusive right to use their dedicated environment during an active agreement. Transfer of custom source code occurs only when explicitly agreed in a separate written contract.
2. Independent Operations & Liability Separation
Each platform licensed or managed by Wixxam Technologies operates in a dedicated environment for the respective client. The business client acts as the independent operator and independent Data Controller for its own end-customers, staff, and commercial activities. Wixxam Technologies provides the underlying software infrastructure and bears no liability for a client’s commercial operations, services, or end-customer disputes.
3. Direct Client Payments
Wixxam Technologies is a software engineering company and not a payment intermediary. Any end-customer payments on client platforms settle directly into the business client’s own bank or payment gateway account. Wixxam never holds, routes, or takes commissions on end-customer funds.
4. Strategic & Brand Partnerships
Promotional placements and brand partnerships across digital platforms operated by Wixxam Technologies are governed by individual written partner agreements. All partner materials must comply with Dutch advertising standards (Nederlandse Reclame Code) and our cookie-free privacy policy.
5. Custom Scoping & Limitation of Liability
Information on wixxam.com serves as a general capability overview and does not constitute a binding public offer. Every software engagement or platform license is scoped individually in a written business agreement. To the fullest extent permitted by Dutch law, any liability of Wixxam Technologies is limited to the direct service fees paid by the client in the three (3) months preceding an incident, excluding indirect or consequential damages.
6. Governing Law & Jurisdiction
All agreements and legal relationships with Wixxam Technologies are governed exclusively by the laws of the Netherlands (Nederlands recht). Any disputes shall be submitted exclusively to the competent court in Amsterdam (Rechtbank Amsterdam).
